Last week, many of us gathered with family and friends to celebrate Independence Day and reflect on our nation’s 250th year. It was a wonderful reminder that some of the greatest accomplishments are built through careful planning, shared purpose, and staying true to the principles that matter most. As we move forward into the second half of the year, those same principles continue to guide the work we do every day on behalf of our clients.

The Importance of Matching the Deal to the Documents

One of the transactions we’re currently working through provided a valuable reminder of something that’s easy to overlook.

 

After months of negotiations, everyone believed we were simply putting the final legal documents together. During a routine review, however, parties involved noticed that one provision in the Asset Purchase Agreement didn’t quite match what the parties had originally agreed to in their Letter of Intent.

 

Fortunately, we caught it before closing.

 

After a few conversations with both parties, it became clear that no one was trying to change the deal. The legal language had simply evolved during the drafting process in a way that no longer reflected the parties’ actual intent.

 

It was a simple issue to resolve but only because it was identified before signatures were on the final documents.

The Lesson

A signed Letter of Intent is an important milestone, but it is not the finish line.

 

Every purchase agreement, promissory note, employment agreement, lease assignment, and closing document should be carefully reviewed to ensure they accurately reflect the business terms everyone negotiated. Small changes in legal wording can sometimes create significant differences in obligations, rights, or expectations.

 

One of the most valuable roles a business broker plays are helping ensure that the transaction everyone believes they have agreed to is the same transaction that ultimately appears in the closing documents.

 

Attention to detail doesn’t just avoid problems; it builds confidence, preserves relationships, and helps transactions reach a successful closing.
